Scope of Work

Description of Services: The Service Provider agrees to deliver:

Brand and Content Strategy

  • Weekly 1-Hour Training: Comprehensive sessions covering brand development, content coaching, addressing your questions, and tailoring strategies to your unique needs.

  • Content Base Development (One-Time): Creation of five evergreen posts serving as the foundation of your content strategy.

  • Content Types Breakdown (One-Time): Education on the three key types of content you'll produce and optimal times to create each type.

  • Market Research (One-Time): In-depth research into effective content formats and formulas in your market, with a detailed breakdown provided during strategy calls.


Content Creation and Coaching

  • Eight Shorts a Month: Delivery of two high-quality posts per week to maintain audience engagement.

  • Weekly 1-Hour Content Coaching and Training: Reviewing the client's content and providing coaching on how they can improve their content creation.


Content Evaluation

  • Monthly 1-Hour Reflection and Strategy Evaluation: Evaluating how the content is performing and if it's achieving the desired results, and making adjustments to the content strategy as needed.


Content Scheduling

  • Consistent scheduling of your content across social media platforms you are active on, ensuring maximum reach.


Videography and Editing Services

  • Conditional 4 Hours of Videography:

    The conditional 4 hours of videography cannot be banked or stacked. However, clients may prorate hours in advance, allowing for up to 16 hours of videography in a single month, with the additional hours deducted from future months’ allocation. This is subject to the availability of the videographer. If the client is remote or lives far away they are responsible for covering all travel and accommodation expenses, including plane & event tickets, ground transportation, filming permits and overnight accommodations if necessary.

  • Editing Services: Professional editing of both client-provided videos and those filmed by our team, transforming them into engaging shorts for your social media channels.

Deliverables:

One Time Deliverables:

  • Content Base Development: Creation of five evergreen posts

  • Content Types Breakdown: Education on three key types of content and optimal production timelines.

  • Market Research: 10 hours of in-depth research with a comprehensive report


Monthly Deliverables:

  • Weekly 1-hour content coaching and training session

  • Eight shorts per month

  • Monthly 1-hour reflection and strategy evaluation session

  • Content scheduling on active social platforms

  • Conditional 4 hours of videography

  • Professional editing services for all videos

Timeline

All monthly deliverables follow a monthly timeline, starting on the 1st day of each month and ending on the last day of each month. This timeline resets at the beginning of each month. Deliverables and services provided within each month must be completed within that specific timeframe, ensuring a continuous and structured approach to content creation and strategy implementation.

Responsibilities

Service Provider Responsibilities:

  • Deliver the services outlined in the Scope of Work section in a professional and timely manner.

  • Communicate regularly with the Client to ensure alignment on objectives and deliverables.

  • Maintain confidentiality of any sensitive information shared by the Client.

  • Provide support and address any questions or concerns the Client may have regarding the services.


Client Responsibilities:

  • Provide timely access to necessary information, resources, and personnel to facilitate the completion of services.

  • Cover all expenses related to videography as specified, including travel and accommodation costs if applicable.

  • Review and provide feedback on deliverables in a timely manner to ensure project timelines are met.

  • Ensure all content provided to the Service Provider complies with copyright laws and does not infringe on the rights of any third parties.

  • Ensure all content submitted is owned by the Client or that the Client has the rights to post and use those digital assets as required.

Payment Terms

  • The Client agrees to pay the Service Provider a monthly fee of $1550 for the services outlined in this Agreement.

  • Payments are due on the first day of each month, starting from the commencement date of this Agreement.


Additional Costs:

  • Any additional costs incurred for travel, accommodations, or other expenses related to the fulfillment of videography services will be billed to the Client separately and must be paid within 15 days of invoicing.


Late Payments:

  • Late payments will incur a late fee of 10% of the outstanding balance per month until paid in full.

  • In the event that the Client does not pay within 30 days, all work and deliverables will cease until payment is made.


Revisions and Changes

Revisions:

  • The Client is entitled to 1 revision(s) per deliverable. Additional revisions will be billed at $60 per hour.


Changes:

  • Any changes to the scope of work or deliverables must be agreed upon in writing by both parties. Changes may result in additional fees and adjustments to the project timeline.

Confidentiality

Confidential Information:

  • Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the term of this Agreement. This obligation will survive the termination of the Agreement.

Exclusions:

  • Confidentiality obligations do not apply to information that is publicly available, was known prior to disclosure, or is obtained from a third party without breach of confidentiality.

Intellectual Property

Ownership:

  • The Client retains ownership of all content provided to the Service Provider. The Service Provider retains ownership of all materials and methodologies used to create deliverables.

License:

  • The Service Provider grants the Client a non-exclusive, perpetual license to use the deliverables for their intended purpose.

  • All content and assets provided by the Service Provider will include the necessary licenses. In the event of a copyright infringement notification, the Client must provide the specific content piece in question, and the Service Provider will supply the appropriate license. All of our assets are licensed and eligible for use on all social platforms.

Termination

Termination by Either Party:

  • Either party may terminate this Agreement with 30 days' written notice.


Termination for Cause:

  • Either party may terminate the Agreement immediately if the other party breaches any material term of this Agreement and fails to remedy the breach within 14 days of receiving written notice.


Refunds and Fees: In the event of termination, the Client will be billed for work completed up to the termination date. Any deposits are non-refundable.

Warranties and Liability

Warranties:

  • The Service Provider warrants that the services will be performed in a professional and workmanlike manner.


Limitation of Liability:

  • The Service Provider's liability for any claims arising under this Agreement is limited to the amount of fees paid by the Client in the six months preceding the claim.

Support and Maintenance

Support:

  • The Service Provider will provide reasonable support for any issues related to the deliverables for a period of 3 months after delivery.


Maintenance:

  • Any ongoing maintenance services must be agreed upon in a separate agreement.

Dispute Resolution

Governing Law: This Agreement is governed by the laws of British Columbia, Canada.

Dispute Resolution Process:

  • The parties agree to attempt to resolve any disputes through good faith negotiations.


Mediation and Arbitration:

  • If negotiations fail, the parties agree to resolve disputes through mediation, and if that fails, through binding arbitration under the rules of Vancouver International arbitration Center. https://vaniac.org


Governing Law:

  • This Agreement is governed by the laws of British Columbia, Canada.

Miscellaneous

Entire Agreement:

  • This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings.


Amendments:

  • Any amendments to this Agreement must be in writing and signed by both parties.


Severability:

  • If any provision of this Agreement is found to be unenforceable, the remaining provisions will remain in full force and effect.


Assignment:

  • Neither party may assign their rights or obligations under this Agreement without the prior written consent of the other party.

Force Majeure:

  • Neither party will be liable for failure to perform due to unforeseen events beyond their control.
